These Terms of Service ("Terms") govern your use of the TreeBidz.com website and tree service bidding marketplace ("Service") operated by TreeBidz ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

Description of Service

TreeBidz is a tree service bidding marketplace that connects homeowners seeking tree services with locally sourced, insured tree service professionals ("Providers"). Homeowners submit service requests with project details and photos, and receive up to 3 competitive bids from matched Providers. TreeBidz facilitates the connection between homeowners and Providers but does not perform tree service work directly.

Use of the Service — Homeowners

By submitting a request through TreeBidz, you agree that:

• The information you provide (including property details, contact information, and photos) is accurate and complete.
• Your contact information may be shared with up to 3 matched tree service Providers for the purpose of receiving bids.
• You are under no obligation to accept any bid received through TreeBidz.
• TreeBidz does not guarantee the availability, quality, or pricing of any Provider's services.
• Any agreement for tree service work is between you and the Provider directly. TreeBidz is not a party to that agreement.

Use of the Service — Providers

By applying to join TreeBidz as a Provider, you agree that:

• You are a licensed and insured tree service professional operating legally in your stated service area.
• You carry adequate general liability insurance and workers' compensation insurance (where required by law).
• You will respond to matched homeowner requests professionally and in a timely manner.
• You will not misrepresent your qualifications, insurance status, experience, or pricing.
• TreeBidz reserves the right to approve, deny, or revoke Provider access at any time and for any reason.

Bidding Calculator and Estimate Tools

TreeBidz provides interactive bidding calculators and estimate tools for educational and informational purposes only. These tools produce rough estimates based on general industry data and regional averages. They are not a substitute for professional on-site assessment. TreeBidz makes no representations or warranties regarding the accuracy of any estimate produced by these tools. Users rely on calculator outputs at their own risk.

No Warranty

TreeBidz provides the Service on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• Any Provider matched through the Service will be available, qualified, or satisfactory.
• Any estimate, bid, or pricing information provided through the Service will be accurate.
• The results obtained from using the Service will meet your expectations.

Limitation of Liability

To the fullest extent permitted by applicable law, TreeBidz, its owners, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities.
• Property damage resulting from tree service work arranged through the Service.
• Personal injury resulting from tree service work arranged through the Service.
• Financial loss resulting from reliance on estimates or calculator outputs.
• Any damages arising from the acts or omissions of Providers matched through the Service.

TreeBidz's total liability for any claim arising from the Service shall not exceed the amount you paid to TreeBidz (if any) in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless TreeBidz, its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

Independent Contractor Relationship

Providers matched through TreeBidz are independent contractors, not employees, agents, or representatives of TreeBidz. TreeBidz does not control, direct, or supervise the work performed by Providers. The relationship between a homeowner and a Provider is a direct contractual relationship to which TreeBidz is not a party.

Intellectual Property

All content on TreeBidz.com, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, is the property of TreeBidz or its content suppliers and is protected by United States and international copyright and trademark laws.

User Content

By submitting photos, descriptions, or other content through TreeBidz, you grant TreeBidz a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content for the purpose of operating and promoting the Service. You represent that you own or have the right to submit any content you provide.

Termination

We reserve the right to terminate or suspend access to the Service at any time, without prior notice, for any reason, including but not limited to violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought in the state or federal courts located in Washtenaw County, Michigan.

Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by the "Last updated" date at the top of this page. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
